Licensing and Ownership
This page sets out the respective ownership and licensing positions for RiverPen, the client, and third-party rights holders.
RiverPen ownership
- RiverPen retains ownership of its pre-existing code, design systems, frameworks, methods, templates, and reusable tools.
- Any licence or assignment applies only to the final custom deliverables described in the signed project contract.
- Nothing in a project quotation is to be construed as a transfer of RiverPen's underlying business methods or internal tooling.
Client ownership
- Upon receipt of full payment, the client receives ownership or licence rights only in respect of the deliverables stated in the contract.
- If editable source files, design files, or repositories are included, that fact should be stated clearly in the proposal.
- Client-supplied assets remain the client's property, subject to any third-party rights attaching to them.
Third-party material
- Open-source packages remain governed by their own licence terms, including attribution, notice, or copyleft obligations where applicable.
- Stock imagery, fonts, plugins, APIs, and cloud services are not transferred unless the relevant provider permits transfer.
- If the project relies on a third-party licence that limits commercial use, that limitation must be disclosed before delivery.
Portfolio and restrictions
- Unless the contract provides otherwise, RiverPen may display non-confidential finished work, screenshots, logos, or project summaries in its portfolio, proposals, and social channels.
- Confidential projects must be protected by a written NDA or confidentiality clause before work commences.
- The client must not resell, repackage, or represent RiverPen's pre-existing assets as exclusive to the client without a written transfer or licence permitting that use.
